(OTCBB: ETLO) announced today that it has executed an agreement to restructure its January 2008 and April 2008 Convertible 6% Secured Debentures with a principal amount of $5.5 Million.&nbsp;&nbsp; Under the terms of the agreement, the terms of the debentures are extended to December 31, 2012, interest accrual will be&nbsp; at 0% from the date of the agreement until October 1, 2010, and all accrued interest as of October 1, 2010 will be added to principal and paid at maturity.&nbsp; The company's obligation to make monthly amortizing redemption payments has been terminated; the company will make semi-annual interest payments only.&nbsp; The parties further agreed to terminate the registration rights agreement entered into in conjunction with the debentures and to exchange the warrants issued in conjunction with the debentures for Etelos common stock on 1:1 basis.<br /><br />This press release shall not constitute an offer to sell, or the solicitation of an offer to buy, any of these securities.     <title>After 10 Years, I Still Can&apos;t Stop the Rain</title>

        <![CDATA[So it was on May 6th in 1999 that I incorporated a business called
Etelos.&nbsp; The journey hasn't been a straight one. It's no secret that we
have seen some pretty big challenges even within the last year.&nbsp; As a
public company, it's impossible to hide that.&nbsp; Instead of boasting
about successes, I thought I would take a moment and write about some
of the lessons that I have learned the last 10 years and memorialize
some of the events that led us to be here at this time, 10 years later.<br />
<br />Here are the top 10 lessons that I have learned:<br /><br />
<font style="font-size: 1.25em;"><b>Lesson #1</b> - I've learned that I cannot stop the rain.&nbsp; </font><br /><br />As profound and simple
as it may seem, there are those that think they can.&nbsp; It may help me
that I live 30 miles east of Seattle where it actually rains more than
downtown Seattle.&nbsp; I routinely talk to others who apparently are
victims of their geography because they think they can do
anything.&nbsp; I'm not under this impression.&nbsp; Actually, I have learned
that I can't do anything without other people.&nbsp; It's these people that
get things done.&nbsp; I am here to serve them and that's my purpose.&nbsp; They
are the ones who accomplish amazing things.&nbsp; I am amazed by them.<br />
<b><br /><font style="font-size: 1.25em;">
Lesson #2</font></b><font style="font-size: 1.25em;"> - The
road of an entrepreneur for some is harder than others.&nbsp; </font><br /><br />Some people
are lucky and others work hard at it.&nbsp; I have seen in the last 10 years
a slew of simple concepts well funded because they were web based - and
apparently that's all.&nbsp; I don't really need to ramble off the list, do
I?&nbsp; Being in the right place when a market moves is really important.&nbsp;
Inventors who come too soon can suffer horrible fate.&nbsp; Those that come
too late the same.&nbsp; Remember that being well funded is not the same as
being successful.&nbsp; There are some business plans where obscene funding
overcomes poor execution, but that is the rarity.&nbsp; More often than not,
poor execution will bring lucky entrepreneurs down - the hard workers
eventually get it right.<br />
<br />
<font style="font-size: 1.25em;"><b>Lesson #3&nbsp; </b>When
people say "just trust me" run away.&nbsp; </font><br /><br />I
learned that when
people say "trust me" there usually is a reason that they have to say
it. Trust is always earned. To give your trust away before it's earned
is both foolish and dangerous.<br />
<br />
<font style="font-size: 1.25em;"><b>Lesson #4</b> - I learned that children grow up no matter what the economic condition
is. </font><br /><br />In 10 years my baby grew up to be a beautiful young girl, and my
two sons were born and are in school.&nbsp; They are precious to me and
they don't care about what happens at work nearly as much as they care
that I am their dad.<br />
<br />
<font style="font-size: 1.25em;"><b>Lesson #5 - </b>I learned that my wife is a great person.</font><br /><br />It's true. My wife is a great person with enormous character
and devotion to her husband and family.&nbsp; I am amazed. I am humbled.&nbsp; I
am inspired.&nbsp; I don't know what I would do without her.&nbsp; It has been
said that behind every great man is a successful woman, I don't think I
would call myself great. But I would be a shadow of myself without
her.&nbsp; <br />
<br />
<font style="font-size: 1.25em;"><b>Lesson #6</b> - I
learned that my faith is more important than anything else.&nbsp; </font><br /><br />Without my
belief in a God who loves me, I am not sure I would have endured the
troubles that I have.&nbsp; For in my journey, there has come many points
where I
have reached the end of my knowledge; and I am blessed to be
surrounded and supported by incredibly talented and gifted people who
are there to help at the right time.&nbsp; I can't
explain it.&nbsp; I have learned to trust in my faith and a God who sustains
me, no matter how good and no matter how bad things may seem. <br /><br /> Whether you believe in God as I do, or you believe that a series of
random unplanned sequence of events (probably trillions of them) in
which you have somehow survived and which has lead to your very
existence - either way, be thankful for this day.&nbsp; If nothing else is
true, the very fact that you exist, it is a miracle - and be thankful
for it.&nbsp; I recently have noticed an abundance of miracles
happening every day in my life.&nbsp; The tougher the circumstance, the more
amazing the miracle.&nbsp; It's building in my life more acceptance over the
challenges and confidence in knowing that things will work out.<br /><br />
<font style="font-size: 1.25em;"><b>Lesson #7</b> - I have
learned that the government does nothing to help business and seemingly
everything to hinder.&nbsp; </font><br /><br />While
even if we assume these actions are not
done 'deliberately', the 'unintended consequences' of increasing
governmental and accounting regulations
make it extremely difficult for an entrepreneur to succeed.&nbsp; Whether
it's a tax code that taxes paper transactions that have no cash value,
or mark-to-market that causes inflated values for both losses and gains
on a P&amp;L or Balance Sheet; it doesn't matter.&nbsp; Governmental and
accounting regulations only become more complex and their impact on the
market
only creates less opportunity. While you can argue that such
regulations serve to protect, there is no government or accounting rule
that can be
passed to help a company produce a better product for it's customers.&nbsp;
Only increased competition can create an environment where customers
reward good products and punish the bad.&nbsp; When government makes any
rule, the potential consequences need to be examined more than the rule
itself.&nbsp; A ruler never judges themselves by the results of their
actions, only by their intentions.&nbsp; Remember that well. It's the
consequences of their actions that impact generations. <br />&nbsp;

<font style="font-size: 1.25em;"><b>Lesson #8</b> - I
have learned that there are a lot of stupid people in this world.&nbsp;
</font><br /><br />There are people that say and do hurtful things.&nbsp; They tend to
group together in
mobs with seemingly
complete disregard for the consequences of their actions.&nbsp; Some of
these stupid
people however if you talk with them one on one are quite intelligent.&nbsp;
So how then can smart people do such stupid things? I'm still working
on this.&nbsp; Right now, I am working hardest on not making stupid
decisions myself - especially if the experts tell me to do it and
everything in my gut says.... "YOU ARE WRONG".&nbsp; It's foolish to do
something merely because everyone else is doing it. And just because
everyone is doing it, doesn't make it the right decision.<br />

<br />
<font style="font-size: 1.25em;"><b>Lesson #9</b> - I
have learned that there are some incredibly good people in this world.&nbsp;
</font><br /><br />There are some amazing people out there.&nbsp; Genuine people of
character that will support you, work with you and take care of you.&nbsp;
When
you believe in what you are doing, it's amazing who will come to your
aid to support you.&nbsp; Remember to take care of these people.&nbsp; I have
noticed in my life a team of individuals working together to
work miracles.&nbsp; Not any one of them doing anything extraordinary but
when combined as a group; they seem to accomplish miracles and they
seem to move mountains.&nbsp; The more practical a solution, the more basic
and simple the solution; a bigger miracle it seems when combined as a
group.&nbsp; Incredibly good and amazing people. <br /><br />


<br />
<font style="font-size: 1.25em;"><b>Lesson #10</b> - The greatest thing you can do in business is to serve your
customers and not quit.&nbsp; </font><br /><br />Make
a product or deliver a service that your
customers want.&nbsp; The closer you work with them, the better your success
will be.&nbsp; If you quit, you quit on your customers too.&nbsp; The more
customers you serve, the easier it becomes to measure success.&nbsp; When
you stop serving customers, the end will soon be near. <br />
<br />
<br /><font style="font-size: 1.25em;"><b>In Conclusion</b></font><br /><br />As for me, I am here today to serve our
shareholders and our customers.&nbsp; It's
that simple.&nbsp;&nbsp; It's our customers over time that will either make us
successful or not.&nbsp;&nbsp; This rule is no different than any other CEO or
any other entrepreneur.&nbsp; Serve your customers.&nbsp; Those who lose sight of
this will fail. And your shareholders will be thereby well served.<br /><br />I
hope this perspective serves you well today and inspires you to think
for yourself, if nothing else.&nbsp; A company is a funny thing.&nbsp; It is an
entity of its own where people come to make things: to meet people that
want to buy things and people who want to participate in the benefits
of the enterprise.&nbsp; We are those people; whether customers, workers, or
shareholders.&nbsp; <br /><br />I hope you are enjoying your journey.&nbsp; No matter what happens. I am.<br /><br /><br />]]>

        <![CDATA[Over the last several weeks I have come to appreciate how cool
Supply Chain Execution software can be. I am referring to <a href="http://www.intek.com/">Intek Integration Technologies</a> and how they are using Etelos. Intek
has been around for 21 years and has an impressive list of clients such
as Petco, Boyds Coffee, Animal Supply, Shop Bop and Bargreen Ellingson
to name a few listed on <a href="http://www.intek.com/">their Web site</a>.&nbsp; <br />

Intek is utilizing the <a href="http://www3.etelos.com/etelos/platform/esap-intro.html">Etelos SaaS Application Platform</a>, one of the
four platforms in the <a href="http://www3.etelos.com/etelos/platform/">Etelos SaaS Platform Suite</a>, to move their
application to Web-based distribution. With 21 years of
thought leadership in their application, they didn't want to rewrite their
entire system. Additionally their systems drive automation on the
warehouse floor and users in the distribution center mostly use hand
held
devices to pick orders. The end-users aren't really using a browser --
but they are using Web-enabled devices.<br />
<br />
In the example below admin users can access Intek <span id="dnn_ctr513_dnnTITLE_lblTitle" class="TitleGray_antsy07">Warehouse Librarian </span>in
a browser for administration while users on the warehouse floor can use
the hand-held device to pick orders. These are WiFi devices so they
access <span id="dnn_ctr513_dnnTITLE_lblTitle" class="TitleGray_antsy07">Intek's Warehouse Librarian over the Web.</span><br />

That's
just too cool. Imagine warehouse workers running around filling orders
efficiently and those devices are talking over the web to servers in
the cloud. Additionally, the admin solution can also be run using RDC
(remote desktop connection) as shown in the screen below.<br />

Supply Chain Execution solution is more complicated still than your
standard SaaS
free-try-it-before-you-buy-it model: mostly because of the need to
integrate operational data into the solution. However, by managing
server deployments in the cloud, Intek can deploy servers already setup
with the main applications and settings in far less time and spend the
consulting hours on valuable
integration, not setting up machines.<br /><font face="Calibri, Verdana, Helvetica, Arial"><span style="font-size: 11pt;">&nbsp;</span></font><br />
The
server management
interface from Etelos makes it easy to manage the inventory of deployed
instances all online. Intek can provision
virtual servers on demand as resources,&nbsp; developers can then install
pre-configured Warehouse Librarian instances creating a base solution to be replicated. These new instances can
then be packaged into templates and inventoried in the Etelos app
repository. Intek can then deploy on demand for appropriate customer installations
as users sign up. This solution enables Intek to signup and provision
conventional client server installations, from the cloud, as a service
on a subscription-type model. <br />

Application Platform. The process could be summed up in this way:<br />

1) Get a development environment that meets your solution <br />

&nbsp;&nbsp;&nbsp; (in this case, Windows Server 2008)<br />

2) Install applications into that environment<br />

3) Package it up as various templates and store in Etelos template library<br />

4) Create store listings for selling applications<br />

5) Start taking orders and installing apps... <br />
7) Or even deploy installations from a wholesale app management system<br />

Customers are able to deploy and begin using the software much more rapidly, which helps them see the benefits right away.</cite><br /><br />We like these kinds of stories for more reasons than the obvious. Providing a platform that helps both Web app developers and the users of them is something that provides more than simple monetary benefits. <br /><br />SaaS means less capital equipment, faster implementation and easier scalability. Intek, while already having the most scalable application suite in the industry, can now sell to the emerging and small business market by utilizing the Etelos Platform. <br /><br />Intek uses the Etelos Platform Suite to package and deploy implementations of its entry level Supply Chain Execution software, Warehouse Librarian Essentials™, which combines Warehouse Management Systems (WMS) and Warehouse Control Systems (WCS) into one integrated solution to maximize the efficiency of an operation.         <![CDATA[I was privileged to serve on a panel this weekend at <a href="http://sxsw.com/interactive">SXSW</a> with <a href="http://sxsw.com/interactive/talks/panels?action=bio&amp;id=201007">Bob Blakely</a> from the Burton Group, and <a href="http://sxsw.com/interactive/talks/schedule/?action=bio&amp;id=168242">Joseph Smarr</a> from Plaxo. And moderating the panel was <a href="http://sxsw.com/interactive/talks/schedule/?action=bio&amp;id=81842">Kaliya Hamlin</a>, Super Hero/Identity Woman. &nbsp;<br /><br />Overall, I would say that there was a lot of enthusiasm and discussion from both our panel as well as the audience about enterprises adopting OpenID, Oauth, data portability and the like. I wanted to comment on a couple of things on my blog, from the perspective of a service provider for enterprises looking to distribute apps via the Web, as well as a distribution channel for existing Web apps through our syndication program.<br /><br />It's hard for enterprises to adopt something like OpenID or Oauth. Now when I am talking about enterprises, I am not talking about AOL, Google or Yahoo; rather I am talking about a SMB with 50-200 employees and perhaps even a few thousand users of technology. It's hard for them to adopt a technology that is something that has OpenID and Oauth effectively.&nbsp; Why? Our panel talked about several issues. One that I would like to elaborate a bit more on is the conflicts that arise with corporate identity and user identities with enterprises versus consumer applications. <br /><br /><font style="font-size: 1.25em;"><b>The company identity<br /></b></font><br />The company is an identity and the employees of a company are subordinate identities. Each user's email address at the company is an asset of the company. The information stored at and created at work are assets of the company. In the consumer Web, the user is synonymous with an account for the most part. Your Gmail account is yours. In the corporate world, your email account is the company's. So the notion of another entity owning the identity of the employees is very different.&nbsp; <br /><br />A user that goes to work for a company should not use a consumer Web site-provided OpenID as their company identity. Why? All the data imported from your consumer site into the work site would become property of the company -- probably not a good thing. The reverse is also true. <br /><br />Taking work assets from a work identity to a personal site could also create problems. Not to mention that you can get in trouble for company assets ending up where they shouldn't be. Your company could get into trouble for improper use as well. This interaction is confusing for company executives and makes it difficult to understand how to use OpenID and Oauth.<br /><br /><font style="font-size: 1.25em;"><b>So A Single Identity is Multiple Users </b></font><br /><br />An additional problem for users in companies trying to adopt Web technologies is the need to have multiple Web identities to log on to different apps. Trying to deal with this on your own creates a virtual identity crisis for the individual. If there are five apps that the company is using, there are now at least five log ons and it's confusing to track all that. The poor man's version of this is to synchronize or use the same UN/PW at all the sites. The bad deal is that one password leak is potentially damaging and irresponsible at the very least. So this confusion more than often leads a company to do nothing on web identity -- and potentially leaving valuable company assets at risk. &nbsp; <br /><br /><font style="font-size: 1.25em;"><b>But isn't OpenID the solution?<br /></b></font><br />Okay now for advocates of OpenID it would seem that this is the solution to the identity crisis.&nbsp; I agree on that point. If a business can "provide" OpenID accounts for it's users, then it can help manage the identity crisis. This is one of the main points we focused on as a panel.<br /><br />The challenge is when businesses look at OpenID as a consumer of it for their staff, thereby accepting someone else's trust for registration of employees is clearly a difficult pill to swallow. While accepting someone else's OpenID for customers is a much easier pill to swallow.<br /><br />However, I believe that businesses would benefit greatly by providing OpenID for their employees. Imagine if you will, giving your employees an OpenID to use to register with all company used applications. This would save tremendous time and create value in the use of technology.<br /><br />The nay sayers will gladly remind me that there is more to the equation. It is by far one of the best events I've attended. <br /><br /><iframe src="https://spreadsheets.google.com/embeddedform?key=puSg_mcuVVNT68DGWClapeQ" padding="5px" marginheight="5" marginwidth="5" align="left" frameborder="0" height="1231" width="310">Loading...</iframe>This year's event, however, has a different appeal for us. Etelos founder &amp; CEO Danny Kolke will be on a pretty powerful panel. <a href="http://sxsw.com/interactive/talks/panels?action=show&amp;id=IAP0900382">OpenID, OAuth, Data Portability and the Enterprise</a> will explore the challenges enterprise class companies face over data ownership. <br /><br />Featuring <a href="http://joseph.myplaxo.com/">Joseph Smarr</a> from Plaxo, <a href="http://www.identitywoman.net/">Kaliya Hamlin</a>, AKA "Identitywoman" and <a href="http://notabob.blogspot.com/">Bob Blakely</a> from the Burton Group will join Danny to discuss if OpenID and OAuth are good for the enterprise and how to implement them. <br /><br /><font style="font-size: 1.5625em;"><b>Shifting the focus</b></font><br /><br />I think this will be an excellent topic for this year's event. Layoffs are piling up, mandatory furloughs are being enforced and startups are folding. As the emphasis shifts from true innovation to a successful business model, the debate over identity and data ownership becomes essential. <br /><br />A prospect or sales lead is an invaluable commodity, and this is even more true in today's economic climate. But who owns that relationship? Who owns that customer's contact information?<br /><br />I'm in the process of building up a schedule, but I want to get your input. What sessions have you excited?
